“Wunderform,” “we,” “us” or “our” as used in this Agreement refers to WUNDERFORM INC., a corporation registered in Ontario, Canada.

Licensee: Purchaser of the Asset

This Wunderform 3D Asset License Agreement (“Agreement”) is a legal agreement between you (“Licensee”) and Wunderform Inc. (“Wunderform,” “we,” “us,” or “our”) governing your use of any digital asset purchased or downloaded from Wunderform. By purchasing or downloading any Asset, you acknowledge and agree to be bound by this Agreement and the Wunderform Terms of Service and Refund Policy.

Definition of “Asset”

“Asset” refers to any and all digital content purchased or downloaded from Wunderform, including but not limited to 3D models, geometry data, textures, shader files, preview renders and associated documentation.

1. Grant of License

Upon purchase, Wunderform grants you a non‑exclusive, non‑transferable, non‑sublicensable and perpetual license to use the Asset for the following purposes:

• Commercial and personal projects.
• Film, video, television, games and advertising.
• Architectural and product visualizations.
• Digital or print illustrations and marketing content.
• Web, app and UX/UI design.

This license applies to one individual user per purchase. For use across multiple users (e.g., teams, studios or client deliverables), you must purchase a separate license for each user. All rights not expressly granted in this Agreement are reserved by Wunderform.

2. Restrictions

You shall not:

• Redistribute, share or resell the Asset in its original or modified form.
• Include the Asset in asset packs, libraries or stock‑media platforms (including but not limited to commercial asset stores, marketplaces or open‑source repositories).
• Provide clients, colleagues or collaborators with direct access to the original or extractable file.
• Use the Asset in any form of artificial‑intelligence or machine‑learning application, including but not limited to dataset creation, model training or fine‑tuning, generative or algorithmic media, or uploading the Asset to any generative content tool or platform.
• Use the Asset to create logos, trademarks or other brand identifiers.
• Use or make the Asset available in any way that enables third parties to extract, reuse or redistribute it.

Clarification: You may incorporate the Asset into a larger creative project (such as a film, game or visualization) for commercial sale or distribution, provided that the Asset is not distributed, sold or made available as a standalone file or in a form that allows extraction or reuse by third parties.

3. Modifications

You may edit or modify the Asset for use within your own projects; however, any modified versions are also covered by this license and may not be redistributed or sold in any form.

3a. Customer Assets

You may incorporate the Asset into your own original creative works (“Customer Assets”) under the following conditions:

• Wunderform Assets must be embedded as components within larger projects (such as images, animations, games or video productions).
• Wunderform Assets, whether original or modified, may not be sold, relicensed, redistributed or made separately available to third parties.
• Customer Assets must not enable third parties to extract or reuse the Wunderform Asset files in any form.
• You may use Customer Assets (containing the Asset) in commercial projects for sale or distribution, provided that the Asset itself is not distributed, sold or made available in standalone or extractable form.

All use of Assets in Customer Assets remains governed by this Agreement.

4. Ownership and Intellectual Property

All rights, title and interest in the Asset, including all associated intellectual‑property rights, remain with Wunderform. This Agreement does not constitute a sale or transfer of ownership.

5. Termination

This license automatically terminates if any terms of this Agreement or the Wunderform Terms of Service are violated. Upon termination:

• All use of the Asset must cease immediately.
• You must delete all copies, including backups and modified versions.

Wunderform reserves the right to seek legal remedies in case of breach or infringement. No refunds will be issued for terminated accounts or licenses.

6. Legal Jurisdiction and Enforceability

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from or related to this Agreement shall be resolved through confidential arbitration conducted in Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario).

If any part of this Agreement is deemed unenforceable under local law, that part shall be severed, and the remainder shall remain in full force and effect.

7. Disclaimer of Warranties; Limitation of Liability and Claims

Assets are provided “as is” without warranties of any kind, express or implied. Wunderform shall not be liable for any indirect, incidental, consequential or special damages; however, Wunderform’s total liability for any claim under this Agreement shall not exceed the amount paid by you for the specific Asset, and any claim or cause of action must be brought within one (1) year after it arises. This clause aligns with the liability and claim limitations in the Wunderform Terms of Service and supersedes any conflicting language.

8. Takedown and Revocation

Wunderform reserves the right, at its sole discretion, to revoke this license and take legal or administrative action if the Asset is used in violation of this Agreement, including but not limited to issuing DMCA or other applicable copyright‑law takedown notices or platform removal requests.

9. Refund Policy

Purchases of digital products from Wunderform are generally final and non‑refundable. Due to the immediate access provided to digital content upon purchase, refunds or exchanges will not be provided for accidental or unintended purchases, buyer’s remorse, incompatibility with third‑party software, or misunderstanding of product description or features. Refunds or exchanges may be considered only under the following limited circumstances:

• The Asset file is corrupted or cannot be opened.
• The Asset received does not match the product description or preview images.
• A duplicate purchase was made in error (subject to verification).

All exception requests must be submitted within 7 days of purchase by contacting us at hello@wunderform3d.com and must include your order number, a clear description of the issue and any supporting documentation. All refund requests are subject to verification, and Wunderform reserves the right to review and deny any refund request at its sole discretion. 10. Confidentiality and Conduct

All uses of the Asset are subject to the confidentiality obligations and anti‑harassment policies described in the Wunderform Terms of Service. You must maintain the confidentiality of Wunderform’s proprietary information and treat Wunderform employees with respect in all communications. These obligations apply to your use of the Asset, whether online or offline.

11. Modifications to this Agreement

Wunderform reserves the right to modify this Agreement at any time. Updates will be posted on our website, and continued use of the Asset constitutes acceptance of the modified Agreement. In the event of any conflict between this Agreement and the Wunderform Terms of Service, the Terms of Service shall prevail.

12. Entire Agreement

This Agreement, together with the Wunderform Terms of Service and Refund Policy, constitutes the entire agreement between the parties regarding the Asset. In case of conflict, the Terms of Service controls, followed by this Agreement and then the Refund Policy.
